1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and J2 Health, Inc. ("J2," "we," "us," or "our"), governing your access to and use of j2health.com and any related media, web properties, and marketing materials (collectively, the "Site"). J2 is a Delaware corporation with its mailing address at 244 Fifth Avenue, Suite A241, New York, NY 10001.

By accessing the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

Access to and use of J2's hosted software products — including the J2 Network Adequacy platform, the J2 Provider Universe, the J2 AI Calling Assistant ("Bert"), and any related modules (collectively, the "Services") — is governed by a separate Master License and Services Agreement (MSA), Order Form, Services Schedule, and applicable Business Associate Agreement (BAA) executed between J2 and the customer organization. In the event of a conflict between these Terms and an executed MSA, the MSA controls with respect to the Services.

We may update these Terms from time to time. Changes are effective upon posting, and the "Last updated" date will be revised. Continued use of the Site constitutes acceptance of the updated Terms.

The Site is intended for business users — primarily health plans, health systems, and regulators. The Site is not directed to consumers or to children under 18.

2. Intellectual Property Rights

Unless otherwise indicated, the Site and all underlying source code, databases, software, designs, text, graphics, audio, video, and the J2 Provider Universe and other proprietary datasets (collectively, the "Content"), together with the J2 trademarks, service marks, and logos (the "Marks"), are owned by or licensed to J2 and are protected by U.S. and international copyright, trademark, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, J2 grants you a limited, revocable, non-exclusive, non-transferable license to access the Site and to view, download, or print Content for your internal business use of J2 and its Services. All other rights are reserved. You may not copy, scrape, redistribute, sublicense, sell, or commercially exploit Content or Marks without J2's prior written consent. Use of J2's Provider Universe data and adequacy methodology outside the Services is strictly prohibited and is governed by your MSA where applicable.

3. User Representations

By using the Site, you represent and warrant that: (1) you have the legal capacity and authority (including, where you act on behalf of an entity, authority to bind that entity) to agree to these Terms; (2) you are at least 18 years old; (3) you will not access the Site through automated means (including bots, scrapers, or crawlers) except for standard, well-behaved search-engine indexing; (4) you will not use the Site for any unlawful purpose; and (5) your use of the Site will comply with all applicable laws and regulations, including U.S. federal and state healthcare laws.

4. Accounts and Access to the Services

The Site may include gated areas (such as customer logins, demo environments, sandbox accounts, webinar registrations, and prospect portals). To access these areas, you may be required to register and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Live customer access to the Services is provisioned only under an executed MSA and, where Protected Health Information ("PHI") is involved, an executed BAA. Trial, pilot, and sandbox access may be granted under separate written terms (e.g., an evaluation agreement or NDA).

Notify J2 immediately at security@j2health.com of any unauthorized access or suspected compromise.

5. Fees and Payment

The Site itself is provided free of charge for informational and marketing purposes. Fees for the Services (subscription fees, implementation fees, professional services, AI Calling usage, and similar) are set forth in the applicable Order Form, Services Schedule, or Statement of Work between J2 and the customer entity, and are governed by the MSA. The Site does not process consumer purchases or recurring online billing.

6. Cancellation and Termination of Service Engagements

Termination, renewal, and cancellation rights for the Services are governed by the applicable MSA and Order Form. To request information about a service engagement, contact your J2 account team or email contact@j2health.com.

7. Prohibited Activities

You may not access or use the Site for any purpose other than its intended use. As a user of the Site, you agree not to:

  • Systematically retrieve, scrape, harvest, or otherwise extract data, Content, or the Provider Universe from the Site to build, train, or compile any database, dataset, AI model, or competing product.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise discover the source code, algorithms, models, scoring logic, or architecture underlying the Site or the Services, except to the extent applicable law expressly permits.
  • Probe, scan, or test the vulnerability of the Site or its infrastructure, or breach or circumvent any security or authentication measures, except as part of a coordinated disclosure invited in writing by J2's security team.
  • Use the Site or any J2 Content to engage in activity that violates HIPAA, the HITECH Act, state privacy laws, the Telephone Consumer Protection Act (TCPA), state telemarketing laws, anti-kickback or fraud-and-abuse laws, or any other applicable healthcare, privacy, or telecommunications regulation.
  • Upload to the Site any PHI, member-level data, or other regulated personal data outside of authorized, contracted ingestion paths (e.g., the secure customer application or J2-provisioned SFTP under an executed BAA). The public Site is not an authorized channel for PHI.
  • Use, reference, or rebroadcast J2's adequacy methodology, scoring outputs, gap-fill recommendations, or Provider Universe content in regulatory filings or commercial materials without an executed agreement that expressly permits such use.
  • Impersonate any person or entity, including a J2 employee, customer, regulator, or provider; or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, ransomware, or any code intended to disrupt, damage, or gain unauthorized access to systems or data.
  • Interfere with, disrupt, or place an undue load on the Site or the networks or services connected to it, including by automated request flooding.
  • Use any robot, spider, scraper, or other automated means to access the Site (other than standard search-engine indexing), or use a buying/scraping agent to retrieve Site content.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notice from any Content.
  • Use the Site to compete with J2, including by using Site Content or marketing assets to develop, market, or operate a competing network adequacy, provider data, marketability, or AI calling product.
  • Harass, threaten, intimidate, or abuse J2 personnel, contractors, customers, or other Site users.

8. User Submissions and Feedback

The Site may invite you to submit information through forms, including demo requests, webinar registrations, security questionnaires, RFP/RFI uploads, support inquiries, and feedback ("Submissions"). Submissions are not confidential unless covered by an executed NDA between you and J2. By providing a Submission, you grant J2 a perpetual, worldwide, royalty-free license to use, reproduce, modify, and incorporate that Submission to operate, improve, and market the Site and the Services, except that any PHI or personally identifiable information will be handled in accordance with our Privacy Policy and, where applicable, the BAA.

You represent that each Submission is yours to share and does not infringe the rights of any third party. You waive any moral rights in Submissions to the fullest extent permitted by law.

9. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy, which describes how we collect and use Site visitor data. Customer data submitted to the Services (including PHI and provider-roster data) is governed by the MSA, BAA, and J2's published security and privacy commitments, not by this Site Terms document.

J2 maintains administrative, physical, and technical safeguards designed to protect Customer Data consistent with HIPAA's Security Rule and industry-standard frameworks. Details are available on request through your J2 account team.

10. Third-Party Sites and Content

The Site may use third party datasets or content not owned or controlled by J2. We do not endorse and are not responsible for the content, policies, or practices of any third party. You access third-party resources at your own risk.

11. U.S. Government Rights

The Services are "commercial computer software" and "commercial computer software documentation" as defined in FAR 2.101 and DFARS 252.227-7014. If acquired by or on behalf of a U.S. government entity, the Services are licensed only with the rights set forth in J2's standard commercial agreements, consistent with FAR 12.212 and, for DOD agencies, DFARS 227.7202.

12. Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms; (2) take legal action against any user who violates the law or these Terms, including reporting to law-enforcement authorities; (3) restrict or disable any Submission or any portion of your access; (4) remove from the Site any files or content that are excessive in size or burdensome; and (5) otherwise manage the Site to protect our rights, our customers, and the proper functioning of the Site.

13. Term and Termination

These Terms remain in effect while you use the Site. We may, in our sole discretion and without notice, deny or terminate your access to the Site for any reason, including suspected violation of these Terms, applicable law, or healthcare regulation. Upon termination, all provisions of these Terms that by their nature should survive (including IP, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

14. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time, without notice. We do not guarantee the Site will be available at all times. We may experience hardware, software, or network issues, or perform maintenance, resulting in interruptions, delays, or errors. We are not liable for any loss or inconvenience caused by Site unavailability. Service Level commitments, if any, apply only to the Services and are set forth in the applicable MSA or Order Form.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Subject to Section 16, the state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute not subject to arbitration.

16. Dispute Resolution

Informal Negotiation. Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute, controversy, or claim relating to these Terms ("Dispute") through informal negotiation for at least sixty (60) days following written notice from one party to the other.

Class-Action Waiver. All Disputes will be resolved on an individual basis. No arbitration or proceeding may be joined or consolidated with another, and no Dispute may be brought as a class, collective, or representative action.

Exceptions. Either party may seek injunctive or equitable relief in court for: (a) actual or threatened infringement or misappropriation of intellectual property; (b) breach of confidentiality; or (c) unauthorized access to or use of the Site or Services.

17. Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, J2 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. J2 MAKES NO WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION ON THE SITE (INCLUDING REGULATORY GUIDANCE, ADEQUACY METHODOLOGY DESCRIPTIONS, OR PROVIDER DATA SAMPLES) IS COMPLETE OR CURRENT. NOTHING ON THE SITE CONSTITUTES LEGAL, REGULATORY, COMPLIANCE, MEDICAL, OR ACTUARIAL ADVICE.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL J2 OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REGULATORY PENALTIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF J2 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. J2'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY FOR THE SERVICES IS GOVERNED EXCLUSIVELY BY THE APPLICABLE MSA.

19. Indemnification

You agree to defend, indemnify, and hold harmless J2 and its affiliates, officers, directors, employees, and agents from and against any claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising out of: (1) your use of the Site; (2) your breach of these Terms; (3) your breach of any representation or warranty in these Terms; (4) your violation of any law, including HIPAA or TCPA; or (5) your violation of any third-party right, including intellectual-property or privacy rights.

20. Site Visitor Data

We collect limited data about your interactions with the Site (e.g., pages viewed, form submissions, marketing-attribution events) to operate and improve the Site, consistent with our Privacy Policy. We perform routine backups but make no guarantee of data preservation for Site visitor data. Customer Data submitted to the Services is governed by the MSA and BAA.

21. Electronic Communications, Transactions, and Signatures

Visiting the Site, completing forms, and corresponding with us by email constitute electronic communications. You consent to receive communications electronically, and you agree that electronic agreements, notices, and records satisfy any legal requirement of writing or signature.

22. Miscellaneous

These Terms, together with any policies referenced herein and any executed MSA/BAA, constitute the entire agreement between you and J2 with respect to the Site. Our failure to enforce any right or provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign these Terms without our prior written consent. There is no joint venture, partnership, employment, or agency relationship created by these Terms.
